Form DIR-3 KYC – KYC of Directors

A Director Identification Number (DIN) is a distinctive identification number allocated to an individual aspiring to become a director or one who already holds a directorship in a corporation. To obtain a DIN, an application in eForm DIR-3 must be submitted. Initially designed as a one-time process for those seeking directorship in one or more companies, it has undergone a change due to an amendment in the MCA’s register. Presently, all directors with DIN are mandated to furnish their Know Your Customer (KYC) details annually through the submission of e-Form DIR 3 KYC.

Purpose of Form DIR-3 KYC

As outlined earlier, each director is obligated to notify all the companies where they hold directorship about the Director Identification Number (DIN) assigned to them. This disclosure is made through Form DIR-3B within 30 days from receiving the approval of the DIN. Similarly, the Secretary and Manager of a company are required to communicate their Income-tax Permanent Account Number (PAN) to the company.

Upon receiving this information, the company is then responsible for providing details regarding the DINs of its directors to the Registrar in Form DIR-3C within 15 days of receiving the intimation. This process ensures transparent and up-to-date information regarding directorships and PAN details within the corporate structure.

Directors are required to submit their KYC details to the MCA if they meet the following conditions, according to recent MCA announcements:

For any Director Identification Number (DIN) holder initiating their KYC filing with the Ministry of Corporate Affairs (MCA) for the first time, the exclusive method is to file all KYC details through eForm DIR-3 KYC. There is no alternative option for such individuals to utilize the web service for KYC submission.

Additionally, DIN holders aiming to update any information in their KYC details must do so exclusively through the submission of eForm DIR-3 KYC.

Form DIR-3 KYC Web

DIN holders who have previously submitted eForm DIR-3 KYC in any of the preceding financial years and do not require updates in their KYC details may conveniently carry out their annual KYC by utilizing the DIR-3 KYC web service.

If Form DIR-3 KYC, is filed within the due date of the respective financial year, no fee is payable. However, if filed after the due date, for DIN status ‘Deactivated due to non-filing of DIR-3 KYC a Fee of Rs.5000 becomes payable.

Step 1- Download the form

  • The first and most important step is to obtain a copy of the DIR-3 KYC form from the MCA’s website.

Step 2- Fill in the DIN details

  • The DIN must be filled in on the KYC form if the status is ‘Approved.’
  • Directors who have had their DIN deactivated due to non-submission of the KYC Form can reactivate their DIN by filling out the form after the statutory due date and paying late filing fees.

Step 3- Fill out the DIR- 3 KYC Form with the required information

Name and relevant credentials

The applicant must enter his own first and last name, as well as his father’s first and last name. There are a few things to keep in mind:

  • The director must give his name as it appears on his PAN card.
  • The address provided in the form will be verified against the PAN database.
  • Acronyms, single alphabets, and short forms are not permitted.

Nationality

  • A director needs to declare his nationality
  • Directors with foreign nationality must declare the nationality mentioned in their passport

Age Declaration

A director’s date of birth (DOB) should be entered in the DD/MM/YYYY format. As individuals under the age of 18 are ineligible to file this application, an age declaration is mandatory.

Address

The director’s permanent residential address must be provided, accompanied by proof of permanent address. If the current residential address differs from the permanent residential address, the current address must also be furnished.

Note: Foreign pin codes can only be provided when the selected state is “NA” (Not Applicable).

Step 4 – PAN Verification

Verification of the Permanent Account Number (PAN) is crucial. Directors must input their PAN and click the ‘Verify Income-tax PAN’ button. The system cross-references the information using the PAN card number.

Note: Successful authentication requires the PAN provided in the form to match the PAN indicated in the Digital Signature Certificate (DSC). For foreign nationals without a PAN, the name on the form must align with the name on the DSC for successful authentication.

Step 5 – Update Contact Details and Verify OTP

Directors need to update contact information by providing a phone number and email address. Validation is done through a One-Time Password (OTP). Directors, who are non-Indian citizens, may use country codes other than +91/91/0.

Important: An OTP can be issued up to 10 times per day and twice every 30 minutes against one form.

Attested Attachments

Applicants must attest and upload the required documents. Any additional attachments should be digitally signed by the applicant.

Step 6 – Authentication of e-Form

The e-Form must be digitally signed by a Chartered Accountant, Cost Accountant, or Company Secretary licensed to practice. This is a critical step in the process.

After thorough proofreading, click ‘Submit.’

Step 7 – SRN Generation

Upon successful submission of e-Form DIR-3 KYC, a Service Request Number (SRN) is generated for future MCA correspondence.

Step 8 – Email Communication

Applicants receive an acknowledgment email on their personal email ID. Filing eForm DIR-3 KYC is complete upon receiving the email of approval.

Procedure to File Form DIR-3 KYC WEB

  1. Log in to the MCA portal with valid credentials.
  2. Click on MCA services and select DIN services.
  3. Choose the DIR-3 KYC Web option.
  4. Enter DIN details, mobile number, and email ID.
  5. Receive and verify the OTP.
  6. Check pre-loaded DIN Holder details and submit.
  7. If filed on or before September 30, a zero-rupee challan and SRN will be generated
